Dear Ms. Brock:

Many thanks for sending the Rooms Contract covering the 28th Annual Managers,
Directors and Promoters Conference sponsored by the Institute of Outdoor Drama,
October 5-7, 1990, to be held in your fine facility. Everything looks to be
just as Jim and I agreed and we're most grateful.

I do need to ask a favor however. Because we are a state institution, we have a
little more bureaucracy to deal with than many groups. Our financial affairs
people tell us that you and I need to agree in writing on the specifics which

Jim and I talked about several months ago. I have taken the liberty to write

these out in agreement form with spaces for us to sign. If you would go over these
with Jim and if they are in agreement with him, please sign and return to me. I
will, in turn, be sure our accounting people receive a copy and I hope that will
take care of the matter.

We are certainly looking forward to coming to the Holiday Inn and enjoying your
wonderful mountain hospitality.

Agreement for Services and Goods Relating to the
1990 Outdoor Drama Conference, October 5-7, 1990,
to be held in The Holiday Inn, Cherokee, NC

September 4, 1990

The Holiday Inn-Cherokee agrees to provide the following
services and goods at the specified rates for the 28th Annual
Managers, Directors and Promoters Conference sponsored by the
Institute of Outdoor Drama, University of North Carolina,
Chapel Hill, NC:

1. To make available 50 double rooms per night on Friday,
Saturday and Sunday, October 5, 6 and 7, 1990 at the rate of
$65.00 per room for registered participants of the Outdoor
Drama Conference. Rooms will be guaranteed available for
conference participants who pre-register with the hotel no
later than Tuesday, September 25, 1990, and provide the hotel
with one night�?os deposit. The Holiday Inn will make every
effort to accommodate conference participants who request
reservations after that date. However, no guarantee can be
made for those individuals requesting reservations after
September 25, 1990.

These rooms will not be guaranteed by the Institute, but will
be reserved by individuals attending the conference who
provide deposits to the hotel.

2. To make available to the Institute one (1) complimentary
double room each night the conference participants rent as
many as 20 sleeping rooms from the hotel.

3. To make available to the Institute two (2) complimentary
double rooms each night the conference participants rent as
many as 50 sleeping rooms from the hotel.

4. For those meetings and social functions on the attached
Conference Schedule designated to take place at the Holiday
Inn, to provide suitable and adequate space in the hotel at
the times indicated on the schedule; and that there will be
no charge for the set-up and use of those facilities.





5. For those meal functions listed on the attached
Conference Schedule designated to take place at the Holiday
Inn, to provide suitable and adequate space in the hotel at
the times indicated on the schedule; and that there will be

6. To provide a complete seafood buffet for conference
participants from 7:00-8:00pm, Friday, October 5, in the
Holiday Inn. The price per person is set at $15.00,
including tax and tip, and will be paid for by the Institute.
The Institute will provide the Holiday Inn with an
anticipated head-count for the buffet no later than Monday,
October 1, 1990. Conference participants will be provided
with meal tickets to assist in arriving at a head-count at
the meal.

7. To provide a complete Indian Feast for conference
participants from 6:30-8:30pm, Saturday, October 6, 1990, in
the Holiday Inn. The price per person is set at $14.50,
including tax and tip, and will be paid for by the Institute.
The Institute will provide the Holiday Inn with an
anticipated head-count for the buffet no later than Monday,
October 1, 1990. Conference participants will be provided
with meal tickets to assist in arriving at a head-count at
the meal.

8. To provide coffee and doughnuts for conference
participants from 8:30-9:00an, Saturday, October 6, and
Sunday, October 7, in the Holiday Inn. The price per person
is $2.00 complete and will be paid for by the Institute. The
Institute will provide the Holiday Inn with an anticipated
head-count for these two coffee breaks no later than Monday,
October 1, 1990.

9. To provide an assortment of soft drinks for conference
participants between 3:00 and 3:15pm, Saturday, October 6,
1990 in the Holiday Inn. The price per person is set at
$2.00 complete and will be paid for by the Institute. The
Institute will provide the Holiday Inn with an anticipated
head-count for this refreshment break no later than Monday,
October 1, 1990.

10. To provide a complete hot lunch for conference
participants from 12 noon until 1:00pm, Saturday, October 6,
1990 in the company dining hall of the Mountainside Theatre,
in Cherokee, NC. The price per person is set at $6.00
complete, including tax and tip, and will be paid for by the
Institute. The Institute will provide the Holiday Inn with
an anticipated head-count for the luncheon no later than
Monday, October 1, 1990. Conference participants will be
provided with meal tickets to assist in arriving at a head-
count at the meal.





11. To provide conference participants with sleeping rooms
in the building closest to the main building of the Holiday
Inn complex.

12. It is agreed the only persons authorized to obligate the
Institute of Outdoor Drama or the University of North
Carolina to any expense are the following:

While the Institute will have special guests at the
conference, none will be asked or allowed to bill any service
or goods to the Institute. Each conference participant will
be solely responsible for his or her own bills. The Holiday
Inn will not allow any person other than Mr. Parker or Ms.
Via to charge any expenses to the Institute or to the
University of North Carolina.

13. The Holiday Inn will provide a fully-itemized bill to
Ms. Via no later than October 17, 1990. She will in turn
submit the bill with the proper documentation to the
appropriate University financial office. That office will
send payment for services and goods directly to the Holiday
