COMPANY. <lb />
I Describe the <lb />
el a He <lb />
the But of <lb />
Relief for the <lb />
of the Weed. <lb />
On the 13th day of October, 1908, <lb />
there in the <lb />
Warehouse in Greenville. <lb />
N C , eighteen or twenty <lb />
farmers who by mutual <lb />
agreement had come together for tin <lb />
purpose of organizing a <lb />
farmers co operative warehouse coin <lb />
having for its <lb />
the making of money for its <lb />
stockholders, but ultimately for the <lb />
purpose of bringing the tobacco <lb />
growers into a successful <lb />
business organization. <lb />
unsuccessful attempts had <lb />
to organize <lb />
tobacco farmers, and naturally <lb />
enough these gentlemen felt that <lb />
many obstacles would Lave to be <lb />
removed before a successful <lb />
station could be effected, therefore <lb />
in the beginning they moved with <lb />
caution and prudence. They <lb />
zed that in employing the long es- <lb />
warehouse business <lb />
business supported absolutely and <lb />
by the tobacco as a <lb />
means to bring about the <lb />
of the tobacco growers, th-y <lb />
were invading a field of hither to <lb />
disputed territory. They fully <lb />
that every step they took <lb />
would be stubbornly contested In <lb />
the and others whose <lb />
interest it always is to throw <lb />
ling blocks in the way of <lb />
movements, and that every effort <lb />
would be employed to defeat the of <lb />
therefore, it was of <lb />
utmost importance that their every <lb />
move should be carefully studied <lb />
and that no mistake be made. <lb />
After carefully and minutely going <lb />
over the situation thoroughly in its <lb />
every detail, a plan of procedure was <lb />
decided upon. <lb />
First of all. it agreed that tin <lb />
organization was to be a plain open <lb />
mil shut business proposition; no <lb />
appeal was to be made to the farmers <lb />
ii any . point Of view; <lb />
no to be played on <lb />
Ii u is simply and purely a business <lb />
matter. <lb />
In adopting this plan, under- <lb />
stood fully that more time would be <lb />
required and the exercise of more <lb />
patience would lie necessary; bill <lb />
they were deeply imbued with the <lb />
fact such a foundation and <lb />
with such <lb />
and lusting organization could <lb />
be effected. <lb />
In drafting the charter special <lb />
care WAS taken In see to it that it was <lb />
sufficiently broad and liberal lo <lb />
serve the purposes the votaries. <lb />
yet sufficiently strong and <lb />
to protect it from designers and <lb />
schemers who might want to use it <lb />
for selfish ends. <lb />
Under the plan of organization <lb />
ad by this small but determined <lb />
number of it required a <lb />
of stockholders to e <lb />
it- policies, in most incur <lb />
companies it is a majority <lb />
the money resented that controls <lb />
While from a strictly modern <lb />
a m of view this is seemingly <lb />
an objectionable feature for the <lb />
purpose of the organization it i-1 <lb />
of its strongest safeguards. I r <lb />
this plan it is well nigh impossible <lb />
for any man or set of men arbitrarily <lb />
to get control. <lb />
Again, under the plan adopt no <lb />
one person is allowed to own more <lb />
than a certain number of shares <lb />
is the maximum at the par <lb />
value of f In, and tho largest stock- <lb />
holder is allowed no more voice in <lb />
voting at the meetings of the com- <lb />
than the smallest one. <lb />
If at any time a stockholder should <lb />
want to dispose of his stock, the or- <lb />
requires him to notify <lb />
the directors, and if the intended <lb />
purchaser is objectionable as a stock- <lb />
holder, then the directors have a <lb />
right to purchase the stock for the <lb />
organization. Thus by this means <lb />
the company is at all times able to <lb />
protect itself against those who <lb />
might have corrupt purposes <lb />
might buy the stock in order to <lb />
interfere with or control the policy <lb />
of the organization. <lb />
The foregoing features constitute <lb />
about the only inn provisions <lb />
of this company not usually found <lb />
in incorporated companies. <lb />
preliminaries being arranged, lb <lb />
company purchased on easy terms <lb />
from Joyner Pail their entire <lb />
warehouse property and good will, <lb />
and employed these gentlemen to <lb />
in conducting the business. <lb />
The company is controlled by <lb />
elev i n directors elected by the stock <lb />
and the officers of the com- <lb />
are a President, Secretary, <lb />
Treasurer and Auditor, elected an- <lb />
by the directors. The com- <lb />
was chartered to do business <lb />
9th, 1903, and on the <lb />
day of that month sold its <lb />
first load of tobacco. The company <lb />
began business at the busiest season <lb />
of the year without a dollar in the <lb />
treasury. Messrs. Joyner A I <lb />
the company their banking <lb />
i and thus is was that the <lb />
Consolidated Tobacco Company had <lb />
its <lb />
As was expected, just as soon as <lb />
this movement became known such <lb />
i broadside attack as had never be- <lb />
fore been known was made, <lb />
me and then another charge was <lb />
rumped up and used against the <lb />
company, The motives of the pro- <lb />
were attacked and the <lb />
chase price of the property was her <lb />
aided far and wide as outrageous <lb />
this, too, notwithstanding the fact <lb />
that the price agreed upon for the <lb />
property was twenty five hundred <lb />
dollars less than any similar pro- <lb />
could have been bought before <lb />
the organization of the <lb />
ed Tobacco Company. <lb />
Everything that could be thought <lb />
of was done to keep farmers from <lb />
joining it, and it must be admitted <lb />
i hat the opposition found many <lb />
billing listeners; but as this was <lb />
only to be expected, the fact that <lb />
more determined opposition was <lb />
not developed is really the <lb />
The purpose of this is <lb />
not to light or antagonize anyone <lb />
but simply to use the organization <lb />
to promote, protect and advance the <lb />
general well being interest of <lb />
the tobacco growers. <lb />
Viewed from the standpoint <lb />
self-interest, it is amazing why any <lb />
tobacco grower, be he ever so poor, <lb />
should not become a stockholder <lb />
As a simple means of making <lb />
money, there is no business more <lb />
sure than this single id. a that tin <lb />
promoters of this movement rely <lb />
ultimate general and widespread <lb />
Farmers have failed in r <lb />
forts to get together so often that <lb />
tin y have come to look with <lb />
doubt on anything <lb />
his fin its object solely the <lb />
of the therefore <lb />
while the ultimate aim and e <lb />
of the Consolidated Tobacco Coin <lb />
is to draw the farmers <lb />
for their general universal good, <lb />
yet in order to cement and solidify <lb />
the organization they have gone ml. <lb />
the warehouse business simply and <lb />
as a means of making money, <lb />
which is the surest and safest way <lb />
of securing the undivided interest <lb />
support of its members and <lb />
then to use the organization thus <lb />
as means of accomplishing <lb />
I he numberless advantages that <lb />
ways result from well organized and <lb />
disciplined effort. <lb />
When the company was only one <lb />
year old they were offered another <lb />
valuable warehouse property on <lb />
similar terms, which they purchased, <lb />
and n w for two years we have been <lb />
operating two warehouses. The first <lb />
year in consequence of the combined <lb />
to defeat the organization, a <lb />
great many farmers wore kept from <lb />
i stock, but at the end of the <lb />
season a dividend of per cent was <lb />
declared. The next year the crop <lb />
was cut about one-half and the stock- <lb />
list was more than doubled, <lb />
in consequence a matter of <lb />
the dividend was not so large as the <lb />
first year. Still a dividend of <lb />
per cent in cash was paid, very much <lb />
to the of the majority of <lb />
the stockholders. <lb />
During the past summer, and up <lb />
to this time, the farmers all over <lb />
the country tributary to this mar- <lb />
have purchased stock, and there <lb />
is hardly a section of the country <lb />
within a radius of twenty-five miles <lb />
of Greenville a-here there are no <lb />
stockholders in this company. Up <lb />
to this time the company has done <lb />
nearly three times as much business <lb />
as it did during the same period last <lb />
year, and unless some unforeseen <lb />
event should happen, it will this <lb />
year reach almost one thousand <lb />
members. <lb />
The company owns two very <lb />
able warehouses in Greenville, and <lb />
if the interest continues throughout <lb />
the season as it has for the past <lb />
sixty days, it will be able by the <lb />
spring to pay off all its outstanding <lb />
indebtedness, and the property today- <lb />
is worth per cent more than when <lb />
it was purchased. <lb />
As a matter of course, the rapid <lb />
access of the company depends <lb />
largely on the stockholders, mid <lb />
while will naturally <lb />
resist and vigorously resent this <lb />
intrusion on what they feel is their <lb />
preserves, yet if this company gives <lb />
the as good service as they <lb />
can get elsewhere, and in addition <lb />
pays them large annual dividends, <lb />
in the course of time the movement <lb />
will over-ride all opposition. And <lb />
while just at this times warehouse- <lb />
men are not to believe it, yet in the <lb />
end they will suffer very little in <lb />
consequence of the change. On the <lb />
other hand the great <lb />
benefits that will come to the thous- <lb />
and- of tobacco farmers if the move- <lb />
widespread and <lb />
thorough will, in my opinion, out- <lb />
weigh by far the result, <lb />
of any previous <lb />
