Dear Sandi:

Many thanks for your letter of July 17 which outlines the
arrangments you and I have talked about for the upcoming
1991 National Outdoor Drama Conference, produced by the
Institute of Outdoor Drama, to be held in your fine facility
October 24-27, 1991.

As I mentioned the other day, because we are a state
institution, we have a little more bureaucracy to deal with
than most groups and as a result of that, you and I need to
agree in writing on the specifics which we have discussed.

I have taken the liberty of writing these out in agreement
form with space for both of us to sign. If you would, go
over these and if you are in agreement, please sign and
return the original to me. I will, in turn, forward a copy
of the signed agreement to our University accounting office.

We are certainly looking forward to coming to The Holiday Inn
and enjoying your wonderful Kentucky hospitality.

Agreement for Services and Goods Relating to the
1991 Outdoor Drama Conference, October 24-27, 1991,
to be held in The Holiday Inn, Bardstown, KY

July 24, 1991

The Holiday Inn-Bardstown agrees to provide the following
services and goods at the specified rates for the 29th
National Outdoor Drama Conference sponsored by the Institute
of Outdoor Drama, University of North Carolina, Chapel Hill,
NC:

1. To make available 50 double rooms per night on Thursday,
Friday and Saturday, October 24, 25 and 26, 1991 for the
registered participants of the National Outdoor Drama
Conference at the following rates: $40.00 single; $50 double;
$55 triple; and $60 quad. Rooms will be guaranteed available
for conference participants who pre-register with the hotel
no later than Thursday, October 10, 1991, and provide the
hotel with one night??os deposit. The Holiday Inn will make
every effort to accommodate conference participants who
request reservations after that date. However, no guarantee
can be made for those individuals requesting reservations
after October 10, 1991.

These rooms will not be guaranteed by the Institute, but will
be reserved by individuals attending the conference who
provide deposits to the hotel.

2. To make available to the Institute one (1) complimentary
double room each night the conference participants reserve
between 20 and 39 sleeping rooms from the hotel.

3. To make available to the Institute two (2) complimentary
double rooms each night the conference participants reserve
40 or more sleeping rooms from the hotel.





4. For those meetings and social functions on the attached
Conference Schedule designated to take place at the Holiday
Inn, to provide suitable and adequate space in the hotel at
the times indicated on. the schedule; and that there will be
no charge for the set-up and use of those facilities.

5. To provide microphones and audio-visual equipment as
requested, with notification of applicable charges to be
given in advance.

6. For those meal functions listed on the attached
Conference Schedule designated to take place at The Holiday
Inn, to provide suitable and adequate space in the hotel at
the times indicated on the schedule; and that there will be
no charge for the set-up and use of those | facilities.

7. To provide a complete Kentucky dinner for conference

participants from 7:30 to 9:00pm, Thursday, October 24, 1991,

in The Holiday Inn. The price per person is set at $12.55,

including tax and tip, and will be paid for by the indtitute.

The Institute will provide The Holiday Inn with a definite
ena pe no later than Tuesday, October 22, 1991.

Holiday Inn will prepare additional meate??T for five
percent of the number guaranteed by the Institute, and will
charge for the number guaranteed plus any additional meals
served above that number. Conference participants will be
provided with meal tickets to assist in arriving at a head-
count at the meal. Included in the set-up for this meal will
be riser(s) for the head table, to be provided by The Holiday
Inn for a fee of $7.50.

8. To provide a complete evening meal for conference
participants from 7:30 to 9:00pm, Saturday, October 26, 1991,
in The Holiday Inn. The price per person is set at $15.00,
including tax and tip, and will be paid for by the Institute.
The Institute will provide The Holiday Inn with a definite
meal count no later than Thursday, October 24, 1991.???

The ??~Holiday Inn will prepare additional meals for five
percent of the number guaranteed by the Institute, and will
charge for the number guaranteed plus any additional meals
served above that number. Conference participants will be
provided with meal tickets to assist in arriving at a head-
count at the meal. Included in the set-up for this meal will
be riser(s) for the head table, to be provided by The Holiday
Inn for a fee of $7.50.

9. To provide coffee without charge for conference
participants from 8:30 to 9:00am on Friday, Saturday
and Sunday, October 25, 26 and 27, 1991 in The Holiday Inn.





10. To provide an assortment of canned soft drinks for
conference participants between 10:30 and 10:45am, Saturday,
October 26, 1991 in The Holiday Inn. The price is set at
$1.25 per can, to be paid by the Institute. The Institute
will be charged only for those cans which are opened. The
Institute will provide The Holiday Inn with an anticipated
count on Saturday morning, October 26, 1991.

ll. To provide a complete hotwhuneh»for conference
participants from 12 noon to 1:00pm, Saturday, October 20s
1991 in The Holiday Inn. The price per ??~person is set at
$7.35 complete, including tax and tip, and will be paid for
by the Institute. The Institute will provide The Holiday Inn
with a/definite meal count no later than Thursday, October
ee oe 1991. The Holiday Inn will prepare additional meals for
??ofive percent of the number guaranteed by the Institute, and
will charge for the number guaranteed plus any additional
meals served above that number. Conference participants will
be provided with meal tickets to assist in arriving at a
head-count at the meal. Included in the set-up for this meal
will be riser(s) for the head table, to be provided by The
Holiday Inn for a fee of $7.50.

12. It is agreed the only persons authorized to obligate the
Institute of Outdoor Drama or the University of North
??oCarolina to any expense are the following:

Judy Via, Admin. Secretary, Institute of Outdoor Drama

While the Institute will have special guests at the
conference, none will be asked or allowed to bill any service
or goods to the Institute. Each conference participant will
be solely responsible for his or her own bills. The Holiday
Inn will not allow any person other than Mr. Parker or Ms.
Via to charge any expenses to the Institute or to the
University of North Carolina.

13. The Holiday Inn will provide a fully-itemized bill to
Ms. Via no later than November 11, 1991. She will in turn
submit the bill with the proper documentation to the
appropriate University financial office. That office will
send payment for services and goods directly to the Holiday
